These Terms of Use (the “Terms”) govern the access and use of the Morgan website, platform, mobile application, and all related services (collectively, the “Platform”) operated by Morgan Solution (“Morgan”, “we”, “us”, or “our”).
By accessing or using the Platform, you (“User”, “Employer”, “Talent”, or “you”) agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not use the Platform.
We may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
1. About Morgan
Morgan is an AI-powered workforce platform designed to connect employers with verified and qualified temporary or full-time workers. The Platform provides job matching, onboarding tools, digital contracting, workforce management, and related services.
Morgan acts as a technical intermediary platform and is not a party to employment contracts between Users unless explicitly stated in a separate written agreement.
These Terms apply to all users including:

Employers posting jobs or managing workers

Workers or candidates (“Talents”)

Visitors browsing or interacting with the Platform
2. Eligibility
To use the Platform, you must:

Be at least 18 years old

Have the legal capacity to enter into a binding agreement

Provide accurate and truthful information

Use the Platform only for lawful purposes
Employers must be legally authorized entities operating in compliance with applicable labor and tax laws.
3. User Obligations
3.1 Information Accuracy
Users must maintain accurate and up-to-date information. Morgan is not responsible for issues caused by false or outdated information.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3.3 Proper Use
You agree not to:

Interfere with or disrupt the Platform

Provide false identity or documents

Abuse messaging or communication tools

Extract data, scrape, or reverse engineer the Platform

Post unlawful, discriminatory, or harmful content
Morgan may suspend or terminate accounts violating these Terms.
4. Employer Responsibilities
Employers agree to:

Provide accurate job descriptions and compensation terms

Comply with labor, safety, wage, and tax regulations

Treat workers fairly and without discrimination

Pay workers according to agreed terms
-
Use rating systems honestly
Morgan may request verification documents to confirm legitimacy.
Morgan does not act as an employer, temporary work agency, or payroll provider unless explicitly agreed in writing. Employers remain solely responsible for legal employment obligations.
5. Talent Responsibilities
Talents agree to:

Provide truthful professional information

Maintain accurate availability
-
Behave professionally with employers
-
Respect workplace rules and schedules
-
Not falsify qualifications or documents
Repeated violations may result in account restriction or removal.
6. Job Matching & AI Features
Morgan uses automated systems and artificial intelligence to:

Match candidates with jobs

Evaluate compatibility based on profile data and performance

Provide recommendations
-
Detect fraud or risk
Users have the right to request human review, express their opinion, and contest any automated decision that significantly affects them, in accordance with Article 22 GDPR.
7. Contracts & Digital Signatures
The Platform provides tools to manage:

Employment agreements
-
Shift confirmations
-
Timesheets
-
Onboarding records
Electronic signatures executed via the Platform are legally binding.
8. Payments
Depending on the service used, Morgan may facilitate payments or connect third-party payment providers compliant with financial regulations.
Morgan is not responsible for payment obligations between Users unless expressly stated in a separate contract.
9. Ratings & Feedback
Users may leave reviews after completed work.
Morgan does not modify reviews except to remove illegal or abusive content.
Misuse of ratings is prohibited.
10. Intellectual Property
All software, algorithms, branding, and content belong to Morgan.
Users may not:

Copy or distribute platform materials

Build competing services using Morgan content

Use automated extraction tools
11. Third-Party Services
The Platform may integrate external providers including identity verification, payments, messaging, analytics, or AI tools.
Their use may be subject to separate terms.
12. Suspension & Termination
Morgan may suspend or terminate accounts for:

Violating these Terms

Fraud or false information
-
Harmful behavior toward other Users
Users may delete their account at any time.
Personal data handling is described in the Privacy Policy.
13. Service Availability
Morgan does not guarantee uninterrupted availability and may suspend services for maintenance, updates, or security reasons.
14. Limitation of Liability
Morgan shall only be liable for direct damages caused by a proven fault attributable to the Platform and limited to the amount paid by the User during the previous 12 months.
Nothing in these Terms excludes liability where prohibited by law, including gross negligence, personal injury, or statutory obligations.
Morgan is not responsible for employment relationships between Users.
15. Force Majeure
Morgan shall not be liable for delays or failures caused by events beyond reasonable control, including network failures, cyberattacks, governmental actions, or natural disasters.
16. Governing Law
These Terms are governed by French law.
Any dispute shall fall under the jurisdiction of the courts of Nanterre, France, unless mandatory consumer protection rules provide otherwise.
